JOB DESCRIPTION

KEY RESPONSIBILITIES

  • Commercial contracts: Demonstrated (hands on experience) subject matter knowledge in structuring, drafting, negotiating and closing all types of transactions;
  • Software technology agreements, master service agreements, syndication agreements, mobile technology agreements, value added services agreements,
  • Procurement agreements and services agreements.
  • Prior experience in drafting, negotiating digital rights and technology contracts.
  • Drafting of pleadings – writ petitions, plaints, complaints, written statements, company petitions, appeals, revisions, winding up petitions, statements of claim etc. before trial courts, High Court(s), Supreme Court;
  • Assist in strategizing and formulating litigation strategy in line with commercial objectives of the company
  • Research and analysis of various policies, amendments, bills, consultation papers, notifications, on corpoate law matters.

QUALIFICATION

  • LLB from a Premier Law College. LLM from a reputed University would be a plus but not a must.
  • Preferably in Telecom, IT, ISP or Broadcasting Sector.

KNOWLEDGE AND SKILLS

  • Providing sound and practical legal advice pertaining to corporate and commercial legal issues.
  • A good understanding and application of Intellectual Property Laws such as the Copyright Act & Rules & the Trade Marks Act and rules. Knowledge of ISP, E-commerce, Digital Media, Legal, Regulatory matters would be a plus.
  • A reasonable understanding of procedural laws such as CPC, CrPC, and also substantive laws such as IPC, and other economic offenses statutes.
  • Experience in drafting, negotiating digital rights and technology contracts, understanding of the regulatory regime in distribution and ad sales would be a plus.
  • Demonstrated (hands on experience) in contract drafting, good negotiation, and execution skills i . e . ability to draft, negotiate and close transactions independently with minimal supervision
  • Should have excellent research, analytical skills and should be able to exercise judgment and discretion to opine on compliance/ legal issues effectively.
  • Able to mentor and drive efficiencies with direct reportees and to be a trusted member within the
  • legal/compliance team. Should enhance industry specific understanding and be an effective negotiator.

Role/Responsibilities

This is a hands-on, senior level role responsible for managing the administration of mandatory compliance and legal training for all employees in the company, globally.
The position requires an expert level of knowledge and experience in the use of the Cornerstone On Demand Learning Management System (LMS) for deploying and tracking online, SCORM compliant training, materials and instructor-led events/sessions.  This role will work with course owners and instructional designers in the Compliance and Legal departments to determine deployment criteria and then completing the set-up and deployment on the LMS and creating reports to monitor and report on completion status.

LMS Activities include:

  • Uploading/publishing SCORM packets and creating objects for UA testing and production deployments
  • Setting up curriculum with required sub-sections, parts and training titles
  • Creating learning assignments and notification/reminders emails
  • Creating User groups for dynamic assignment and reporting
  • Creating csv files or selecting users to include in Standard assignments
  • Creating Custom reports and  using Reporting 2.0 to create reports
  • Create recorded “Zoom” or WebEx sessions for later replay
  • Creating instructor -led training events, sessions and user registrations for session with appropriate emails and reporting
  • Creating reconciliation processes and reports to verify all assignments were successful
  • Effectively create and use Custom fields to expand capabilities while working with HRIS to automate where possible
  • Working with the company LMS admin to test periodic system updates from Cornerstone for impact to our courses, groups or assignments and make adjustment as needed
  • Ensuring all assignments are current and inactivating assignments, curriculum, objects, groups, etc. when necessary
  • Write and implement operating procedures for key processes following best practice models
  • Work with HRIS to identify, troubleshoot, and resolve LMS-related system issues and challenges as well as proactively identify and prevent potential problems.
  • Troubleshoot end-user technical issues with the Training team, HRIS and/or IT, escalating when required
  • Providing reports and other information as needed in response to internal and regulatory audits
  • Participate on learning councils and other committee to understand upcoming software updates from Cornerstone or other internal applications
  • Work with Training management and training sponsors to design curricula, audience configurations (groups or csv files) and assignments for required one-time and ongoing training rollouts
  • Create and track training metrics; create reports to assist in evaluating test results
  • Create activity reports to respond to standing and ad hoc regulatory inquiries and management reporting
  • Seek to identify areas where automation or process redesign will improve efficiencies and eliminate errors

Qualifications

  • Degree preferred in related field.
  • Minimum 5 years as a senior leaning administrator for the Cornerstone On Demand system
  • Ability to mange tasks to meet project deliverables on time and error free
  • Prior experience managing/overseeing the work of junior employees
  • Ability to analyze current processes and workflows and make substantive suggestions for improvement. Six Sigma experience or training a plus
  • Ability to communicate effectively with all levels of the organization, in writing and in-person meetings.
  • Ability to work with members of other training departments to collaborate on and coordinate training rollouts/scheduling, and best practices
  • Expert in the Office suite, particularly Excel (charts, graphs, VLookUps, etc.), Word and PowerPoint. Knowledge of Access a plus

As an [Senior Associate/Associate] – Legal, you will be primarily responsible for –

Contract Drafting, Review and Negotiation

  • Drafting (both internally and with the assistance of external counsel) well thought out and structured, exemplary contracts for global relationships with customers for Zeta’s Software as a Service, Professional Services and Platforms

About The Role

The candidate will be joining the Legal team of ApplyBoard India and will be responsible for drafting, reviewing, and negotiating contracts. This will also include ensuring compliances requirements are met and providing advisory services in this sector.
They are looking for someone who has previous experience in reviewing and negotiating contracts and advising on commercial transactions. The individual should have excellent communication skills, good analytical skills and should be able to articulate and highlight the issues and solutions with proper clarity. What You’ll Do

  • Participate in the review and negotiation of a broad spectrum of commercial contracts, including but not limited to, service agreements, non-disclosure agreements, product supply agreements, licensing agreements, manufacturing agreements, amendment agreements.
  • Understand queries from business teams and suggest legally compliant solutions.
  • Work on standardizing templates and on various Policies of the Company
  • Research on various aspects of law applicable to the business of the Company.
  • Work on contracts including Master Services agreements, partnership agreements, non-disclosure agreements, vendor agreements, leave and license agreements, lease agreements, human resource-related agreements, administrative services agreements, IT services agreements, and other such agreements and assist or guide the senior management of the Company regarding the same.

  • LL.B. degree from a reputable institution.
  • 2 years of experience in working with in-house teams or law firms.

Facebook is looking for a Chief Compliance Officer for WhatsApp India. The ideal candidate would be an experienced leader and strategic thinker with a deep knowledge of India’s evolving digital industry. Chief Compliance Officer, WhatsApp India Responsibilities

  • Oversee and monitor compliance with applicable laws and regulations of India, including but not limited to the information technology laws and rules, on behalf of WhatsApp
  • Work closely and creatively with cross functional teams, including Legal and Policy, in reviewing and addressing governmental regulations, agency guidelines, and policies.
  • Manage effective relationships, including on matters of compliance, with key government agencies and regulators in close collaboration with internal teams.
  • Provide compliance support and guidance to the internal teams coordinating with government and law enforcement agencies and handling user grievances.
  • Provide feedback to internal teams and leadership regarding the design and operation of WhatsApp’s compliance in India, the key issues, the emerging trends, and the effectiveness of compliance program operations, resourcing, and external understanding.
  • Identify, propose, and support effective process and technical solutions to facilitate compliance with applicable laws and regulations.
  • Ensure the company stays abreast with current and anticipated regulations as well as industry best practices.
  • Willingness to work off hours and overtime, including weekends and occasionally on holidays, in order to support emergency matters and interact with globally-based company employees.
  • Adopt responsibility (which may include personal legal liability) and ensure due diligence is exercised with respect to WhatsApp’s obligations under the information technology laws.
  • Where necessary, participate in hearings and proceedings before courts or regulatory authorities involving WhatsApp. This may require you to appear in your personal capacity or as a representative of WhatsApp in such proceedings.

Minimum Qualifications

  • The successful candidate must be resident in India.
  • Bachelor’s degree or equivalent
  • 15+ years of experience regarding relevant compliance matters, including expertise in applicable laws and regulations to online platforms, internet safety issues, user privacy, and content regulation. Such experience should correspond to that expected for an organization of similar size, scale, and complexity as Facebook and its family of apps and products.
  • Public policy experience or experience interacting and maintaining strong relationships with key government agencies and other external stakeholders on compliance matters in a highly-regulated environment

Preferred Qualifications

  • Considerable experience in public policy or law preferred
  • Experience assessing, analyzing, and resolving multiple issues and challenges while meeting tight deadlines.
  • Experience with applicable regulatory compliance requirements and spotting emerging trends and “hot issues.”
  • Experience working with internal teams on matters concerning compliance with applicable laws and regulations, and implementing solutions to improve compliance frameworks and internal policies.
  • Experience working as part of a fast-paced team and exercising good judgment, strong critical thinking skills, agile prioritization, and influential presence of mind in a rapidly changing environment.
  • Experience presenting before audiences.
  • Fluency in English and at least one additional Indian language.

The incumbent will manage and govern the corporate secretarial compliances of all the Indian entities of the Genpact group.

Responsibilities

SECRETARIAL COMPLIANCES 

•    Ensure compliances under the Companies Act 2013 for Company, LLP and Branch office
•    Prepare and review of all the relevant documents relating to Board and General meetings of Indian entities, Coordinate for the board/general/other meetings and follow-up actions thereof – Organizing, preparing agendas for and taking minutes of board meetings and annual general meetings, preparing and publishing the director’s report and publishing & distributing annual reports
•    Drafting of various resolutions as required under Companies Act, 2013  
•    Draft and execute of Agreements/Supplementary Agreements for LLP and Filling and filing of necessary e-forms in respect thereof with Ministry of Corporate Affairs
•    Maintain statutory registers and Minutes and regular update and upkeep of corporate records and maintain statutory books and registers of directors, members, annual accounts, etc.
•    Regular and timely filing of financials, returns, documents, including forms, returns, and applications, Directors’ related documents, etc. to be filed with the Registrar of Companies/Ministry of Corporate Affairs/Reserve Bank of India under Companies Act, LLP Act, and FEMA 
•    Fill various e-forms with MCA, filing of Annual returns, Standalone and Consolidated Financial Statements and other ROC Compliances viz., Application for Condonation of delay, Application for Compounding of offense; Filling and filing of ARF and FC-GPR form with the Reserve Bank of India 
•    Timely renewals of DIN, DSC, and other KYC requirements of Directors, Appointment/Re-appointment/ Cessation/Change in directorship/KMP/Auditors
•    Handle assignments related to the incorporation of companies and matters related therewith, change of registered office, change of name, increase in authorized share capital, payment of Dividend, foreign remittance, Allotment of shares, Alteration in Memorandum and Articles of Association, Bonus issue, Issue of shares on Rights basis; Shifting of Registered office of company and LLP outside the state, Strike off of company, etc.
•    Assist in activities related to Merger and Acquisition, Due Diligence
•    Managing the Secretarial/Compliance Audit of all the entities, providing the requisite documents to Auditors
•    Regular update with the relevant legislation and regulation 
•    Regular update with the compliances related to the securities market
•    Manage all tasks relating to Securities and their transfer and transmission and deal with CDSL/NSDL and Registrar and Transfer Agent

•    Drafting of various letters, agreements, minutes, notices, directors reports, annual reports, etc.

•    Collaborate with internal stakeholders – functions including finance, controllership, treasury, tax, HR, Infra, IT, CSR and fulfill their requirement of various documents. 
•    Communication and dealing with various stakeholders, Shareholders, Government bodies, Regulators, Authorities, etc. 
•    Regular communication/discussion with lawyers and consultants on various corporate restructuring, audit-related projects, and activities 
•    Undertake and assist in any new project related to creating and maintaining a repository of legal and statutory documentation
