The Sr Contracts Supervisor/ Lead-Contracts and Legal –HPS will be based in Pune, India and reports to the Regional General Counsel for PMT Indian Sub-Continent. She or he will serve as legal advisor to the respective businesses of Honeywell Process Solutions (HPS) Strategic Business Unit in Indian Sub-Continent (India, Bangladesh and Sri-Lanka) partnering with the business and functional teams to support growth, implement business plans and facilitate key strategic projects. Further responsibilities include the following:

• Serve as the first point of contact in HPS India for the Regional General Counsel, PMT (located at Gurgaon, India) and working with the other members of the HPS India leadership and functional teams, deliver legal services for respective HPS businesses in a timely and effective manner across the region.

• Analyze and advise on all legal and regulatory issues relating to commercial and contract law, intellectual property, leasing, licensing, corporate compliance, foreign investment, labor & employment, M&A, product liability, competition law, and risk/opportunity analysis of potential transactions.

• Manage litigation for and against HPS business in the region and direct dispute resolution efforts and strategies.

• Serve as Contracts Leader and manage the HPS contract review and management function in the region in alignment with the HPS contracts processes, baseline terms and practices. Identifies and mitigates risks connected with non-standard conditions and customer direct changes in proposed contractual documents; communicates concerns and issues clearly to the organization; Advises internal clients (sales/ business managers) concerning legal and contractual requirements.

•Draft, negotiate and manage legal documentation for a broad range of commercial transactions (including customer sale agreements, supply agreements, distribution agreements, sales representation agreements, software or IP licensing agreements, joint development agreements, pricing agreements, consignment agreements, non-disclosure agreements, etc.).

•Conduct extensive preventive law training on a wide variety of topics, including competition law compliance, contracting excellence, protection of intellectual property, US Foreign Corrupt Practices Act, Prevention of Corruption Act and workplace issues and policies.

• Support in developing standardized processes and templates for the efficient delivery of legal services in the region.

Qualification:

• Indian Attorney. Company Secretarial (ACS/FCS) or international law qualification will be an added advantage.
• 8-10 plus years of relevant experience with major law firm and/or corporation as an attorney.
• Strong multinational business transactional experience, including business acquisitions, dispositions and joint ventures as well as commercial agreements. Transactions negotiation experience in Oil and Gas industry will be an added advantage.
• Experienced in conflict resolution at the pre- and post-litigation stages of dispute resolution.
• Strong intellectual capacity and high personal standards of excellence.
• Personal presence, communications skills and credibility necessary to effectively interact with and influence senior management.
• Integrity and good judgment are extremely important.
• Ability to set priorities for oneself.
• Ability to work independently and aggressively drive key initiatives at a distance from direct supervisor.
• Interest and ability to teach and to motivate business people in legal issues affecting business transactions.

Objective

i. To contribute towards developing best in class contract management function which, while
servicing the internal business and control stakeholders in contracts, legal documents, terms
and conditions etc, is also able to insulate the business from all risks.
ii. Implement technology enabled tools and experience-based initiatives to make the contracting
process automated, efficient, and effective.

1. Description of KRAs

a) Contracts:
i. Standardisation of templates while prescribing negotiable and non-negotiable clauses basis
risk categorisation and type of contracts.
ii. Set up an efficient drafting and review process of contracts and other legal documents for
various business lines including payments, technology, merchants, product specific like
insurance, mutual funds, coupons etc.
iii. Lead contractual negotiations and closure independently.

b) Commercial:

i. Develop commercial understanding of the business and each product line for risk assessment
including what is mandatorily required under various regulations for financial services
products like insurance and Mutual funds.
ii. Provide expert & strategic legal advice on various aspects of business to management on
optimising the contracting process, stamping, e-sign, repository access etc.
iii. Evaluate and weigh multiple inputs and impacts of any decision or course of action as the
business is large, has PAN India operations and offices, ability to anticipate issues and estimate
risks, identify proactive solutions that will eliminate or mitigate risks.

c) Process:

i. Communications with relevant counter parties / external counsels for contract finalisation.
ii. Systematise the complete contracting process, TAT expectations, repository and retrieval

iii. Establish an auditable and robust process for renewals and monitoring of key requirements of
contracts.
iv. Deployment of technology-based solutions and tools to make the end to end contracting
process efficient, effective and best in class as to quality of drafting and risk mitigation.
v. Keep abreast of legislative change & maintain current knowledge of alterations in legislation
to continue to improve contract versions.

2. Min Qualification

i. LL. B/ LLM.
ii. Minimum 7 years post-qualification experience.
iii. Have strong drafting and communication skills.
iv. Exposure to a variety of contracts – Complex IT /software development, licensing, real estate
to variety of vendor, supplier, employment, service contracts – both revenue and expense line
contracts.
v. Overall good legal knowledge (corporate law, employment laws, business laws, data privacy
practises, info sec standards, etc). Exposure on regulatory compliance and litigation is a good
to have but not mandatory.

KEY RESPONSIBILITIES

  • Commercial contracts: Demonstrated (hands on experience) subject matter knowledge in structuring, drafting, negotiating and closing all types of transactions;

  • A good understanding and application of Intellectual Property Laws such as the Copyright Act & Rules & the Trade Marks Act and rules. Knowledge of ISP, E-commerce, Digital Media, Legal, Regulatory matters would be a plus.
  • A reasonable understanding of procedural laws such as CPC, CrPC, and also substantive laws such as IPC, and other economic offenses statutes.
  • Experience in drafting, negotiating digital rights and technology contracts, understanding of the regulatory regime in distribution and ad sales would be a plus.

Role/Responsibilities

This is a hands-on, senior level role responsible for managing the administration of mandatory compliance and legal training for all employees in the company, globally.
The position requires an expert level of knowledge and experience in the use of the Cornerstone On Demand Learning Management System (LMS) for deploying and tracking online, SCORM compliant training, materials and instructor-led events/sessions.  This role will work with course owners and instructional designers in the Compliance and Legal departments to determine deployment criteria and then completing the set-up and deployment on the LMS and creating reports to monitor and report on completion status.

LMS Activities include:

  • Uploading/publishing SCORM packets and creating objects for UA testing and production deployments
  • Setting up curriculum with required sub-sections, parts and training titles
  • Creating learning assignments and notification/reminders emails
  • Creating User groups for dynamic assignment and reporting
  • Creating csv files or selecting users to include in Standard assignments
  • Creating Custom reports and  using Reporting 2.0 to create reports
  • Create recorded “Zoom” or WebEx sessions for later replay
  • Creating instructor -led training events, sessions and user registrations for session with appropriate emails and reporting
  • Creating reconciliation processes and reports to verify all assignments were successful
  • Effectively create and use Custom fields to expand capabilities while working with HRIS to automate where possible

  • Ensuring all assignments are current and inactivating assignments, curriculum, objects, groups, etc. when necessary

  • Work with HRIS to identify, troubleshoot, and resolve LMS-related system issues and challenges as well as proactively identify and prevent potential problems.
  • Troubleshoot end-user technical issues with the Training team, HRIS and/or IT, escalating when required
  • Providing reports and other information as needed in response to internal and regulatory audits
  • Participate on learning councils and other committee to understand upcoming software updates from Cornerstone or other internal applications
  • Work with Training management and training sponsors to design curricula, audience configurations (groups or csv files) and assignments for required one-time and ongoing training rollouts
  • Create and track training metrics; create reports to assist in evaluating test results
  • Create activity reports to respond to standing and ad hoc regulatory inquiries and management reporting
  • Seek to identify areas where automation or process redesign will improve efficiencies and eliminate errors

Qualifications

  • Degree preferred in related field.
  • Minimum 5 years as a senior leaning administrator for the Cornerstone On Demand system
  • Ability to mange tasks to meet project deliverables on time and error free
  • Prior experience managing/overseeing the work of junior employees
  • Ability to analyze current processes and workflows and make substantive suggestions for improvement. Six Sigma experience or training a plus
  • Ability to communicate effectively with all levels of the organization, in writing and in-person meetings.
  • Ability to work with members of other training departments to collaborate on and coordinate training rollouts/scheduling, and best practices

Skills and Experience

  • Bachelor/master degree in law.
  • 5-8  years of total experience – with a law firm / Technology / SaaS Company.
  • Experience in drafting and negotiation of IT/and services agreements/ data protection agreements/ partnership/ non-disclosure agreements/ Vendor Agreements.
  • Experience in reviewing and negotiation of information technology agreements, SaaS agreements, and data protection agreements is a must.
  • Experience and knowledge in global data protection laws and regulatory requirements regarding personal information (including GDPR, CCPA, HIPAA, etc). 
  • Experience in contract lifecycle management, intellectual property laws.
  • Excellent written and oral communication skills, good negotiation skills, able to understand business requirements and ability to prioritize conflicting demands.
  • General understanding of technology around data collection and processing, and ability to review information security practices and requirements.  
  • Excellent knowledge of MS Word 

A day in the life of a legal manager 

  1. 70% of the work is reviewing contracts – both customer and vendor contracts. We sign DPAs with our customers and in case of non-standard DPAs, a legal manager works with our customer DPAs
  2. For working with customer agreements, senior legal managers have experience in data protection laws. 
  3. Get on calls with sales teams to drive negotiations. 
  4. Check vendor contracts for software required by marketing/sales/HR team
  5. Participate in operational action items. Make sure Wingify has taken care of terms and conditions of policies. Sending/receiving legal notices to parties using our IP without authorisation/competition. 

Meeting expectations as a legal manager

  1. Maintaining SLA timelines for agreement reviews. For all agreements, individual has to respond with a turn around time of 48 hours

As an [Senior Associate/Associate] – Legal, you will be primarily responsible for –

Contract Drafting, Review and Negotiation

  • Drafting (both internally and with the assistance of external counsel) well thought out and structured, exemplary contracts for global relationships with customers for Zeta’s Software as a Service, Professional Services and Platforms
  • Assist with the review and/or drafting of other agreement types which include but are not limited to corporate services contracts, hardware and software licenses, statements of work (SOW) with vendors and partners, HR related agreements, non-disclosure agreements and possible Mergers, Acquisitions and Investment related agreements. 
  • Creating drafts for global partnerships with networks, vendors, analysts- Reviewing drafts from the team / external law firms to ensure clean, modular, well structured, comprehensive and balanced contracts- Reviewing contracts from external vendors and third parties
  • Negotiating the above mentioned agreements where required and making relevant changes while efficiently balancing risk, fairness and deal closure timeframes in all contract negotiations
  • Managing Zeta’s contracts and providing contract support during the life cycle of such contracts with the assistance of licensed CLM Software.

Global compliances– 

  • Assist with and manage Zeta’s employment contracts and compliances across 10+ countries- Assist with and manage Zeta’s ESOP and equity grant plans and compliances-
  •  Assist with and manage corporate governance in conjunction with finance team across our subsidiaries and JVs in 10+ countries*

Regulations – 

  • Study and acquaint yourself with financial, banking, corporate law and commercial regulations in 20+ countries. 
  • Coordination with internal Zeta teams to ensure that the Zeta platform is compliant with all applicable regulations-
  • Research and knowledge development with regard to legal and regulatory guidelines around intellectual property, contract law and interpretation, breaches of contract and remedies for such breach, contract compliance requirement, data protection laws etc.
  • Conduct research on new regulations and legal regulatory frameworks of new domains of business and providing advice on regulatory requirements, legal risks and risk mitigation strategies

Legal Function– 

  • Work as a part of a team and contribute towards projects by setting up policies and processes for legal risk identification and mitigation.
  • Prioritize and manage business stakeholders and workload effectively, with quick turn-around time requirements. 

Candidate Skills & Attributes

Education

  • Graduate of a top law school, licensed and in good standing
  • BSc/BBA/BA LLB degree in Law or J.D. degree
  • Master’s Law degree from Premier Institutes (Optional)* MA or BSc in Business Administration is optional* Knowledge / Certification / Academic qualifications in information technology / systems would be good

Skills and Experience

  • 5+ years experience in contract drafting and negotiation, with the ability to apply business/commercial context when required, ideally within a law firm for disparate global customers
  • Adequate experience in working with technology companies including but not limited to fintech companies, preferably B2B SaaS
  • Expert knowledge of Applicable Laws such as Information Technology laws, Data Privacy laws, Corporate law etc
