As a Senior Associate, you will perform FLR and majorly SLR and other administrative tasks in the assigned project. Responsibilities & Qualifications

Specifically, you will

  • Review contracts.
  • Extract the metadata terms from contracts.

Experience

  • 2 plus years of experience in LPO, Legal firm, litigation, and knowledge of contract drafting, reviewing, red-lining contracts such as buy side agreements (MSAs, SOWs Software), sell side agreements (Licensing contracts, customer agreements, Services contracts)
  • Experience or knowledge of Metadata Extraction/Abstraction from contracts.
  • Excellent track record in previous client support/customer service engagements.
  • Experience working directly with a US or UK client.
  • Experienced in Microsoft Products like Excel, Word, PowerPoint, SharePoint.
  • Experienced in contract management software, i.e., Ariba, Icertis etc.

Position Summary

Provide leadership and technical support across Projects for land acquisition of sub stations, workshops, warehouses etc related to TL projects. Also guide Land Acquisition teams across the country to ensure best and effective implementation of norms of Land Acquisition, along with identifying properties in line with requirements of the projects. 

Position Demands

  • Graduate/Post Graduate, preferably in Law and/or Land Management with exposure to land acquisition activities for different type of projects
  • Should have negotiated / part of negotiation of land for at least 10-15 years across different sectors.

Key Accountabilities / Responsibilities

  • Develop and Review of Land Acquisition Plans Policies and Legal Frameworks

  • Driving/ monitoring of Land Acquisition performance metrics, reporting of metrics to project mgmt/senior mgmt team.
  • Identifying risks and proposing mitigation steps to safeguard company’s interest into land acquisition function.
  • Handling complete feasibility as well as legal due diligence of different properties including physical verification process. Coordinate with legal consultants, Revenue departments for title scrutiny and marketability.
  • Strengthen Communication Strategy, Develop and meet requirements of National and Multilateral requirements, Maintain Cost efficiency, Budgets planning and asset management
  • Forming detailed business plan and evaluate if the land opportunity makes commercial sense and then present to the management.
  • Handholding of project teams for ensuring smooth work on the site acquired by us which also includes post acquisition compliances like mutations, diversions etc.

Job Description

To own and advise ABFRL business on mitigation of legal risks arising out of leasing of stores, franchisee management and Litigations for south region. To support regional counsel and their respective teams

The role extends to pan India for entire ABFRL business. The laws/regulations whether relating to leasing, retail compliance, litigations, etc., vary from state to state that make the decision making process complex. Managing common legal regional teams to support businesses separately within the timelines that are often steep is also a challenge. Following are the operational challenges.

 Synergy in leasing and litigation processes between PT and MFL and ensure seamless support to both the businesses

Resolve issues arising out of legal due diligence of properties proposed to be taken on leases that are escalated by regional legal counsel and play advisory service to cross-functional teams

•             Review of legal risks arising out of Due diligence of properties conducted by external lawyers and recommend approval or rejection of property

•             Negotiation of leases, CAM documents, Renewal of lease, etc

•             Provide SOPs for driving higher % of Registration of leases or any leasing requirement

•             Negotiation  of costs with lawyers

•             Prosecute third party or defend MFL in all litgations pan India

 •             Advice on legal issues concerning the franchisee, landlords, etc.,

•             Initiate or defend legal action ( civil/criminal/labour/consumer).

•             Resolution of cases of violation of legal and values-   Filing of police complaints, advice on the process for disciplinary inquiry, etc

How to apply

Eligible students should apply for summer placement through the online web-based application form through their respective institutes to the “Control Offices of Reserve Bank of India”, from 15th October to 31st December of the previous year for internship starting from April of next year

Selection

The Bank will select a maximum of 125 students for summer placement every year. In the month of January / February of the following year, the interview for the short listed candidates will be held at the offices indicated above. The short listed outstation candidates will be required to bear the travel costs of journey to the office of RBI and back for this purpose. Names of selected students will be communicated in the month of February / March.

Selected outstation candidates will be reimbursed AC II Tier/1st Class return fare by rail from the place of his/her institute to the place of summer placement for undertaking the project.

Declaration of Secrecy

Summer trainees are required to furnish a declaration of secrecy to the Bank before reporting for the internship.

Duration

Normally the period of placement will be for a maximum of three months during the period from April to July. The period may be reduced/extended at the discretion of the Bank.

Place of Summer Training

Summer trainees will be required to undertake the project in various Central Office Departments in Mumbai or the respective Control Offices mentioned above under the Para ‘Role of Institutions’.

Facilities

Summer trainees are eligible to receive a monthly stipend of ₹ 20,000/- per month. Outstation trainees will be required to make accommodation arrangements on their own.

•    Experience in Contract drafting and negotiating. Ability to handle commercial transactions and other applicable areas of law
•    Prior experience of working with leading corporate law firm, corporate clients (external or internal)
•    Good knowledge of Indian laws and international commercial laws,
•    Having gained in-depth knowledge of Indian legal system,
•    Experience in service industry is desirable
•    Should have a good grasp of commercial laws, regulations and legal concepts, policies and procedures related to IT and ITES. Requires strong drafting and negotiation skills. 
•    Should have prior experience in drafting and vetting India commercial agreements and past experience in commercial contracts with other countries. 
•    Relevant legal experience combining corporate and private law settings including considerable experience with matters pertaining to commercial transactions, litigation management, compliance and general corporate law matters.
•    Established ability to influence actions without direct leadership responsibility for teams or processes with a validated ability to establish relationships within a matrixed environment (both cross-functionally and cross-business)
•    Consistent track record to lead and execute effectively at all levels of the organization
•    Outstanding communication skills – both written and verbal – with a proven ability to communicate to all “customers” internally and externally to the business
•    Proven track record to think and lead on a strategic level within organization 
•    Demonstrated track record of investigating and resolving sophisticated compliance issues
•    Solid understanding on a wide range of legal subjects, ability to build on this knowledge, spot issues and bring in specialists as needed 
•    Demonstrated ability to meet deadlines; ability to prioritize and plan, coordinate and execute on assignments, peer manage relations with colleagues of fields
•    Outstanding analytical ability, creativity and judgment in resolving legal issues

Job Purpose and Impact

The Contracts Lawyer will be responsible to review, draft and negotiate variety of complex commercial contracts for the assigned areas. In this role, you will leverage the established forms, templates, playbook and processes to independently review and draft standard and non-standard contracts, negotiate third party contracts and track legal matters and trends. You will partner with business team members, subject matter experts and other lawyers and paralegals who provide counsel related to a variety of contracts for the company.

Key Accountabilities

  • Collaborate with members of the law team and clients to structure and execute variety of complex commercial transactions following the established procedures.
  • Independently draft, review and negotiate legal documents including a wide variety of commercial contracts such as agreements relating to information technology, intellectual property, procurement, service, consulting, distribution, external manufacturing, sales, license, and other legal agreements.
  • Leverage systems for workflow management, tracking and communicating the status of legal matters.
  • Apply general knowledge to support for the assigned contract categories, including template, playbook, quality control oversight and customer experience.
  • Provide support on special projects as appropriate.
  • Pursue professional development in support of the global contracts group, law and company priorities.
  • Independently solve complex issues with minimal supervision, while escalating issues to appropriate staff.
  • Other duties as assigned

Qualifications

MINIMUM QUALIFICATIONS

  • Bachelor’s degree in Law (B.A. L.L.B)
  • Other minimum qualifications may apply

PREFERRED QUALIFICATIONS

  • 5 plus years of experience in Contract Drafting and Negotiation.
  • Detail-oriented professional with knowledge and experience in common law legal principles and contracts.
  • Previous experience on contract drafting, review and negotiation.
  • Experience working with information technology agreements.
  • Experience with contract lifecycle management system
