INTRODUCTION

“Covid-19 has had a significant impact on economies all over the world impacting their trade and financial markets, in addition to being a global pandemic and public health disaster.”

“The disease mitigation measures imposed by many nations have also resulted in significant income reductions, increased unemployment, and disruption in the demand and supply chain of the world which in turn has impacted world trade negatively.”

A report from UNCTAD (2020), indicates the list of most impacted world economies due to covid-19. European Union (EU), the United States of America, and Japan are the most impacted economies by the covid-19 according to that report.

UNITED NATIONS CONVENTION ON CONTRACTS FOR INTERNATIONAL SALES OF GOODS(UNCISG)

Vienna Conventions is also known as UNCISG. It came into force in year 1988 after 9 countries ratified the treaty. By 2020, 94 countries had ratified the treaty and were following the standards set by it.[1]

“International Institute for the Unification of Private Law (UNIDROIT) and United Nations Commission on International Trade Law (UNCITRAL)” became the basis for UNCISG. While drafting the UNCISG, drafters took inspiration from both the treaties to make a comprehensive document which beneficial for the entire world and represented the needs of the world without any kind of discrimination or biases. 

UNCISG aims to have uniform rules and regulations regarding international trade all over the world. It aims to promote free trade between countries by trying to remove any legal barriers.

Countries have various benefits of joining UNCISG. Since all the member countries are being regulated by the same rules and regulations it becomes easy for the contracting parties to interact and even if one party to the contract is at the position of domination, it cannot dominate because similar rules apply to both the parties.

Also, it saves a lot of time for parties as they have to follow already made rules and regulations and don’t have to sit and frame new rules and regulations. Hence, saving a lot of time and effort.

Also, countries having distinct economies and economies at a distinct stage of development (developed, developing, and underdeveloped) are a part of UNCISG, all opinions and issues get highlighted.

CLAUSE OF FORCE MAJEURE

“Force Majeure” is a French word that means “greater force”. It can be defined as a contractual term that exempts the party from performing the contractual obligations, they owe to each other if an event beyond their control occurs, and that event makes it impossible for the parties to perform their duties.

FORCE MAJEURE CLAUSE IN INDIA

Although the clause of force majeure is not expressly mentioned in the Indian Contracts Act,1872.

But according to the Hon’ble Supreme Court of India, it comes under the ambit of “Section 32 of the Indian Contracts Act,1872.[2] Section 32 of the Indian contract Act talks about Contingent contracts. This was held by Supreme Court in the case of Energy Watchdog vs Central Electricity Regulatory Commission.”

Force Majeure can be broadly used in two contexts:

  1. Natural Events
  2. Political Events

NATURAL EVENTS: These kinds of events may include ‘Act of God’ like Tsunami, floods, drought. In these circumstances, it becomes difficult for the parties to complete their contract hence Force Majeure clause applies here.

POLITICAL EVENT: Political Events include, events like Civil unrest, genocide, wars, etc. Also, in all these circumstances it becomes difficult for the parties to contract to fulfil their mutual obligations towards each other.

Therefore, this clause of ‘force Majeure is very important and useful for the businessman as it allows them to breach the contract without entering into any kind of liabilities or facing any kind of loss or damages provided the situation arisen is out of their control.

ARTICLE 79 OF UNCISG

Article 79[3] of UNCISG though does not mention the term ‘force Majeure explicitly but according to Article 79: “a party is not liable for a breach of any of his obligations if he can show that the breach was caused by an impediment beyond his control and that he could not reasonably be expected to have taken the impediment into account at the time of the contract’s conclusion, or to have avoided or overcome it, or its consequences.”

Therefore, four necessary conditions are to be fulfilled to be termed as an ‘impediment’:

  1. A particular event beyond his control
  2. The event was not reasonably expected/ foreseeable
  3. The particular event could not be avoided
  4. A certain kind of reasonable relationship exists between the party’s non-performance and that particular event.

COVID-19 AND FORCE MAJEURE CLAUSE OF UNCISG

Covid-19 is going to fulfil the first two of the criteria i.e., covid-19 was beyond anyone’s control and was not reasonably expected. But the non-fulfilment of the contract due to covid will depend upon case to case and a universal policy cannot be implemented. 

Although, it might be true that because of travel barriers and travel restrictions imposed by various countries in the form of lockdowns and shutting down of borders, the contracts may have been hampered. But these four mentioned conditions are not objective and are subjective to different interpretations. Therefore, all the contracts may not completely be absolved from the liability but certain contracts may be depending upon the facts of that particular contract.[4]

CONCLUSION

In summary, those involved in International Trade activities should be aware that “Article 79 of the CISG may not be sufficient to protect them from trouble and hardship.” In these difficult times, general contract terms written by reputable international organizations can be used to protect their interest. Stakeholders “should not, however, consider these common contract clauses as a complete solution to their problems.” “The parties are advised to seek legal advice and to write down their clauses of force majeure.”

The Constitution Law Studies Committee, School of Law, CHRIST (Deemed to be University, Pune Lavasa) is organizing National Level Online Quiz Competition named as “Conquizor”, on the occasion of 72nd Constitution Day on 26 November, 2021.

Attributes and scheme of Conquizor

  • The format of the quiz will be ‘Objective Questions’ consisting of multiple-choice questions, true-false an assertion- reasoning questions.

  • The participants registering for the quiz via the Google Registration form will receive a confirmation mail from our side.

  • There will be Two Rounds to be conducted under the aegis of Conquizor via Online mode.
  • Both the rounds will be held via Google Forms.
  • There will be no negative marking for the quiz.

About the Organiser

The Department of Laws, Panjab University was originally established at Lahore in 1889, re-established at Shimla in 1948, and finally re-located at the University Campus at Chandigarh in 1959.

Its Alumni include Judges of the Hon’ble Supreme Court and High Courts, Union Cabinet Ministers, State Chief Ministers, Cabinet Ministers and other legal luminaries. About the Moot

The present moot court competition shall be conducted with the objective to provide learning opportunities to the students. The Department believes in imparting value-added education and thus present event shall help students in enhancing their research skills, writing and advocacy. The present moot problem is based on Constitutional Law, Parliamentary Privileges and their exercise by the members of Parliament.

Students enrolled in a full-time Law Degree Programme i.e. 5-year Integrated Law Degree Programme or 3-year LL. B Programme at the time of the competition are eligible to participate in the Competition.

Responsibilities

To assist the Hon’ble judge in the discharge of administrative and judicial functions, the Legal Researcher shall perform the following duties:

  • To read the case files, and prepare the case i.e. case summary and notes and chronology of events of such a comprehensive nature, that it may give to the Hon’ble Judge a complete view of the mater, including the legal questions involved, and the latest case-law having bearing on the case either ways,
  • To search and research legal points and principles under control and guidance of Hon’ble Judge,
  • To search out case law, articles, papers and other relevant material required in discharge of judicial/administrative work.
  • To take down notes of arguments and to prepare notes of cases.
  • To identify facts, issues and questions that may arise in the course of arguments, or as may be relevant for judgment,
  • To maintain record of judgments by the Hon’ble Judge alongwith the point of law decided in that particular case, and to maintain it in such a manner, as to be very conveniently retrievable, as and when needed by the Judge, for any purpose whatever.
  • Maintenance of record of administrative correspondence, administrative files, and, if specifically entrusted, of particular judicial file(s),
  • To perform whatever is directed, in the course of imparting training to him, with regard to procedure and substantive law,
  • To assist Hon’ble Judge in preparing any speech/academic paper.

Qualifications

  • A candidate must be a fresh law graduate or post graduate in law from Universities/College/Institutions established by law in India.
  • A candidate must have basic knowledge of computer.
  • Age and Nationality: A candidate must not have attained the age of 33 years on January 1 preceding the last date fixed for submission of the online application.
    • He/She must be citizen of India.

Disqualification Criteria

  • A candidate must not be a practicing advocate nor engaged/appointed elsewhere, on honorarium/payment basis.
  • A candidate must not have more than one wedded spouse, nor should be. married to such a person, who already had a living spouse at that time.
  • A candidate should not be involved in any criminal case, whether convicted or against whom criminal trial is pending.

Honorarium

  • A fixed honorarium of Rs. 50,000/- per month without any dearness or other allowance/ perquisite, shall be paid to the Legal Researcher.
  • Proportionate reduction of honorarium shall be made for unauthorized absence, so also for absence beyond permissible period of leave.

Certificate

  • On successful completion of the term of assignment, a certificate by the Registrar General shall be issued, in the form prescribed in Schedule-IV.
  • If the assignment is terminated due to pre-mature discharge by the High Court, or due to voluntarily giving up assignment, by Legal Researcher concerned, no such certificate shall be given.

Selection of Legal Researcher

  • Online applications for appointment of Legal Researcher will be placed before the Hon’ble Judge concerned.
  • Under the directions of Hon’ble Judge concerned, shortlisting of the applications may also be done on the basis of academic carrier and extracurricular achievements of the incumbents.
  • Selection of the Legal Researcher will be made by Hon’ble the Chief Justice or the Hon’ble Judge concerned after interviewing the candidates for assessing their suitability.

About the Andhra Pradesh High Court, Amravathi

The High Court of Andhra Pradesh is the High Court of the Indian state of Andhra Pradesh. The seat of the High Court is currently located at Amaravati. The government of Andhra Pradesh has however decided and passed a bill in the state legislature to shift the principal seat of High Court to Kurnool.

Duration

  • The engagement as Law Clerk will be normally for a period of 1 year from the date of assignment.
  • However, subject to the approval of the Hon’ble the Chief Justice, the period of assignment can be extended for a further period not exceeding four years.

Salary

A consolidated amount of Rs. 25,000/- per month as an honorarium for the assignment

The Indian Review of Corporate and Commercial Laws (IRCCL) is a blog that publishes articles on current issues relating to corporate law, dispute resolution, antitrust, taxation, insolvency law, trade law, and labour and employment law.

  • Nature of Submission: IRCCL prefers articles that are analytical in nature.

Submission Procedure

Submissions may be made via email to the IRCCL team (submissions@irccl.in). IRCCL receives and reviews articles on a rolling basis, hence there is no deadline for submission.
