OVERALL PURPOSE OF JOB:

Candidate is responsible for individual contribution as part of the Global Contracting & Commercial Solutions Group for UnitedLex. Primary day to day focus is commercial and contractual analysis and support services across client industries (Manufacturing, Retail & Consumer, Public sector (Including Government), Healthcare, Automotive and Banking & Insurance), advising on technology and outsourcing deals. Initially, focus will be on DXC Technology, a major multinational technology / outsourcing company formed from the merger of CSC and HPE Enterprise Services. The role requires the individual to be well skilled in contract analysis and provision of advice and guidance on contract interpretation, understanding of the key risks and obligations of contracting. Candidates should have particular strengths in teamwork (internal & external customers), contract risk/liability assessment and problem-solving. They must also have the interpersonal skills to build strong relationships with internal clients. Candidates should be experienced in working autonomously/remotely from the team/clients but open to seeking advice from senior team members when needed.

The role may include local, regional, or global support and may also require travel from time to time.

REQUIREMENTS & COMPETENCIES:

• BA/BS/LLB required (or regional equivalent education).

• 3+ year experience in law firm and/or global corporation. Outsourcing/supplier experience desirable.

• Contract and commercial drafting and assessment experience required, including a level of client (internal or external) engagement.

• Ability to provide guidance/interpretation on existing contract provisions.

• Ability to work remotely and within a team, build relationships with other business functions (legal, finance, compliance etc).

• Good written and verbal communication skills in the local language and English.

• Demonstrable knowledge and judgment about contractual and commercial risks/issues in transactions.

• Demonstrate ability to think outside the box.

• Ability to manage high volume of small/medium value, low complexity work.

• Good working knowledge of the fundamental legal provisions of commercial contracts.

• Good working knowledge of the commercial risks/issues of commercial contracting.

Internal RESPONSIBILITIES:

• Provide advice and support in connection with a range of contract types, including drafting and reviewing change control notices, small contract documents, legal research and contract interpretation.

• Work in tandem with a senior lead to assess and draft contractual provisions.

• Contract administration such as sending notifications, letters, claims, variations,

• Non material contract obligations monitoring.

• Provide ongoing advice to account teams regarding legal and commercial implications of specific terms and conditions in contracts.

• Provide commercial / contract support to client account/sales teams.

• Adherence to client policies, procedures and processes.

• Provide transactional support in connection with a range of commercial agreements.

• Assist account teams with change control notices and amendments to existing agreements.

• Working approach to on the job learning and development.

• Have clear development goals for 6, 12, 18 months (in conjunction with manager)

Position Summary

The Contract Compliance Analyst will be responsible for the timely provision of contractual documentation pertaining to company client, partnership and vendor relationships.

Qualifications/Skills/Experience

Essential Duties and Responsibilities

  • Review and/or draft legally binding statements, on-boarding documents, Master Service Agreements and Statements of Work (leverage/customize existing templates) to be ultimately distributed to clients. This process includes potential negotiation of language and obtaining stakeholder buy in on negotiated terms
  • Strong prioritization and organizational skills, including the ability to maintain several concurrent commitments while providing realistic delivery dates and managing expectations
  • Create and maintain files for client contract compliance records (both soft and hard-copy files)
  • Assist with completion of Request for Information, Request for Proposal, Information Security Questionnaires and Vendor Registration documentation

Aims and objectives

The Union Cabinet approved the National Intellectual Property Rights (IPR) Policy on 12th May, 2016 that lays the future roadmap for IPRs in India. The Policy recognizes the abundance of creative and innovative energies that flow in
India, and the need to tap into and channelize these energies towards a better and brighter future for all.

This internship program aims to work towards the fulfillment of the following objectives of the National IPR Policy 2016:

  • IPR Awareness: Outreach and Promotion – To create public awareness about the economic, social and cultural benefits of IPRs among all sections of society.
  • Generation of IPRs – To stimulate the generation of IPRs
  • Human Capital Development – To strengthen and expand human resources, institutions and capacities for teaching, training, research and skill building in IPRs

Eligibility criteria for the program

A. The applicant should:

(a) be a citizen of India; and

(b) is pursuing or has completed:

i. post-graduation / doctoral studies in science, or

ii. graduation / post-graduation / doctoral studies in engineering or technology

iii. graduation / post-graduation / doctoral studies in law, from any University established under law for the time being in force in the territory of India.

B. In case of candidates pursuing graduation / post-graduation / doctoral studies, internship should be a requirement specified under their course curriculum.

C. The graduation / post-graduation / doctoral studies shall be from a government recognized institute.

D. The application for internship shall be accompanied by a recommendation from the Head of Institution.

Number of Interns required

Number of interns to be taken to be taken every year by the office of CGPDTM will be decided by office every year depending upon the requirement, infrastructure and other facilities of the office.

Duration

The duration of internship shall be as per the requirement of the course curriculum.

Place of internship

Place of internship can be at the IP Office Delhi, Mumbai, Kolkata, Chennai and RGNIIPM, Nagpur.

Honorarium

No honorarium of any sort shall be paid to the intern.

Application procedure

Applicants are requested to submit their CV and a cover letter containing a brief synopsis of the proposed topic of study during the internship to cgofficemh@nic.in. Internships shall be filled by way of a selection process as adopted
by office of CGPDTM. Selected interns will have to provide a certified copy of their certificates. Interns shall not be treated as staff members.

Intellectual Property Rights

All intellectual property rights relating to any protectable subject matter created by the intern under the course of internship shall belong to Office of CGPDTM. However due acknowledgement will be given to the interns in the certificate.

Leave and Relaxations

A leave of three days per month, excluding medical leave, will be provided to the intern.

Outcome of the internship

Interns will be given assignment on the emerging issues in patents and will be required to submit a research paper at the end of the internship program.

Certificate

Upon successful completion of internship, a certificate shall be issued by the Head of Office where the intern has interned.

Introduction

WWF-India through its internship programme provides an opportunity for non-WWF India staff to engage with projects we are involved in and contribute to projects of national/global importance in conservation.

Eligibility

  1. Students from Indian and Foreign Institutions and Universities.
  2. Students pursuing final year under-graduate (Bachelors course) and students pursuing post-graduate (Masters Course) courses.
  3. Others interested in an internship with WWF-India may apply too.

How to Apply

  1. Interested candidates should apply by filling an application form (available on this page as download), with a valid photo ID proof.
  2. Foreign nationals should apply with valid Visa, passport, and Medical insurance cover for the internship duration. 
  3. In case of an internship being part of an ongoing academic course, the application must be submitted by the candidate along with a recommendation from the University/College. Applications received without a recommendation letter will not be accepted.
  4. Duration of the internship (Start and end date) should be clearly indicated.

Selection Process

  1. Internship applications will be reviewed by the HR Division along with relevant Division and State Offices.
  2. Only shortlisted applicants will be informed about the status of their internship.
  3. Selected candidates will be intimated within 30 days from receipt of an application.

Duration of internship

  1. WWF-India internships positions open twice a year – in February and October
  2. Internships are normally for a period of 30 days to a maximum of 6 months.
  3. Persons interested in working with WWF-India for less than 30 days may apply under volunteer’s programme through http://volunteers.wwfindia.org/

Stipend

WWF-India will not pay a stipend to students who are pursuing the internship as part of their completion of studies (academic courses). However, others interested in an internship with WWF-India, may be paid stipend based on their experience.

Academic Credits / Certificate

  1. WWF-India cannot grant academic credits for an internship. Only the University can grant this.
  2. WWF-India may assist the student, by providing relevant information requested by the academic department.
  3. Certificates will be issued to interns, on satisfactory completion of their internship assignment and submission of their outputs.

Modalities

  1. Interns are required to give an undertaking prior to joining the internship programme.
  2. The interns will be issued a daily visitor card for the duration of Internship.
  3. Interns will be taken through respective divisional brief overview within a week of joining the internship.
  4. Each intern will be assigned a Guide.
  5. Interns will be provided with required logistic support based on their assignment.
  6. An intern, who is a foreign national, will be constrained not to visit any sensitive (Protected and Restricted) area for work.

Code of Conduct

The Intern appointed by WWF-India will have to sign a Code of Conduct Policy of WWF-India.

Submission of Papers/Reports

  1. The interns will be required to submit an output (Presentation, Report, Paper, and Data) on the work at the end of the internship.
  2. Interns will also be required to give feedback on their internship experience.

They’ll give you the freedom and tools to bring your absolute best, and the opportunities will be limitless. They are looking for a Legal Counsel for our India operations and to advise on a variety of legal, commercial and employment matters, including payments and remittances along with other operational advisory. The candidate should have some experience working as a banking or securities lawyer at an established law firm or at financial services or fin-tech companies.

WHAT YOU’LL BE DOING

• Draft, review, negotiate and advise internal stakeholders and negotiate with external counterparts on a variety of commercial agreements, including third party agreements, operations agreements, services agreements, partnerships, and marketing agreements

• Develop and implement processes for efficient and streamlined operations surrounding contract negotiation and processes

• Develop and maintain precedent agreements, contract management systems, and other databases

• Identify and advise on legal risks in connection with the development of new products

• Liaise with specialist external counsel in relation to original new products, expansion into new market verticals and areas relating to compliance, privacy, or security

• Resolving issues that arise in existing commercial relationships, and handling pre-litigation legal disputes and inquiries

• Drive and support all ongoing HR compliance review processes, including necessary employment filings, policies and procedures and liaise with external counsel to manage employment matters when appropriate

• Provide the necessary employment support to the local HR team in relation with the employee’s lifecycle including recruiting; hiring; employee relations; discipline, compensation, benefits, bonus & equity awards and terminations

• Support the business expansion and transformation by advising on various range of collective employment issues including redundancies, transfer of undertaking, acquisition, etc.

• Monitor changes to regulatory requirements and proactively handle regulatory developments and advisory work related to a broad range of regulated areas including; payments, trading and investments, insurance, plus many more. 

.• Provide time-sensitive support on a wide array of legal inquiries in connection with all aspects of India operations

• Identify and consult on legal risks in connection with the development of new products

WHAT YOU’LL NEED

• Strong client-service and customer orientation and strengths in forming good working relationships

• High degree of independence, initiative and decisiveness

• Excellent academic and work credentials  

• 6+ years of post qualification experience (LLB)

• Excellent command over English (written and oral) is a must

• An enthusiasm and drive for delivering results

• Strong analytical skills and an ability to demonstrate sound legal and business judgment, even in ambiguous situations

• Ability to work independently and also contribute successfully to cross-functional teams

• Excellent organisational skills, and an ability to manage multiple projects at once, to meet deadlines

• Common sense, great judgment, and a good sense of humour

• Strong experience in advising clients on commercial contract matters and employment matters (past experience in: regulatory, IP, IT is a plus) across a broad range of areas including Financial Services, Technology and Corporates

• Desire to work in a fast-paced, high pressure, entrepreneurial environment

  • Actively collaborate with a wide variety of teams at Stripe, including product, engineering, partnerships, compliance, and marketing, on a range of issues related to market expansion, regulatory compliance, product development and commercialization
  • Help build scalable and effective processes for legal review and launch of products in India
  • Manage outside counsel in India to ensure timely and knowledgeable support of critical matters
  • Participate as a proactive business partner to senior managers and build a trusted advisor relationship.

They are looking for someone who has:

  • A law degree
  • Native level local language fluency and excellent English proficiency
  • A minimum of 10 years combined relevant experience in a top law firm, government agency, and/or in-house legal team, preferably working on the legal and regulatory matters in the financial services space
  • A passion for technology and ability to understand complex business models and product use cases quickly
  • Strong communication (both written and verbal)
  • Experience working on cross-border matters and working across different cultures
  • Excellent project management skills, attention to detail, and ability to work under tight deadlines
  • Excellent judgment, ability to navigate ambiguity and evolving regulatory spaces, and provide practical, solutions-oriented legal advice
  • Be humble, curious about an evolving industry, and have a terrific sense of humor
