VAM is currently raising a 500 cr (250 + 250 green shoe) Cat 2 AIF which has many firsts to its credit incl being the first AIF to come with a Crisil AA+ (SO) and a 20% first loss protection to investors. Near term plans include launching multiple schemes both under Cat 2 & 3.

Key Responsibilities

  • Should have prior experience under legal team of fund management company and alternative investment funds or working as a part of a law firm with its asset management/funds practice.
  • Drafting of PPM, Contribution Agreement, Trust Deed, Investment Management Agreement etc. for registering an AIF.
  • Negotiating with the contributors on legal aspect and draft the contribution agreement and other related documents.
  • Drafting and negotiation with the Issuer on the transaction documents related to investment by the alternative investment funds.
  • Maintenance of legal agreements with respect to investment in AIF and further investment by AIF.
  • Drafting and negotiate other legal agreements such as Distribution Agreement, Engagement Letters etc.
  • Legal experience with respect to handling the requirement for receipt of investment in AIF through various jurisdiction such as USA, Europe, Middle Eastern countries etc.
  • Must be proficient in filings required under SEBI AIF Regulations, Companies Act, 2013, FEMA etc. and handling the website of SEBI Intermediary Portal, RBI, RBI-FIRMS Portal and the Ministry of Corporate Affairs etc.
  • Involved in drafting internal policies such as KYC AML Policy, ESG Policy, Insider Trading Policy etc.
  • Should keep abreast with the latest regulatory changes/ requirements and adhere to such requirements.

Required Skills

  • Be a qualified lawyer with 5-7 years of experience working in a law firm or with a legal department of fund management company and alternative investment fund sector.
  • Should be equipped to do research under SEBI AIF Regulations, Companies Act, FEMA, regulations related to investment in AIF through various sectors/industry, various jurisdictions and preferably experienced in dealing with foreign law firms in relation to the same.
  • Should be dynamic and a team-player at the same time should be able to handle independently the given tasks.
  • Possess good oral, written communication and interaction skills.
  • Be ambitious and passionate as we are and ability to work effectively under pressure.

Key Requirements

  • 9+ years of experience as an in-house counsel. Prior litigation and law firm experience would be an added advantage.

Key Purpose:                    

To act as the go between to our internal teams and our debt recovery law firms. (our DRLF)

Key Outcomes:                

  • Ensure that high debt recovery rates and the time to collect are reduced.
  • Reduce the time it takes to supply an audit trial to our debt recovery law firms (our DRLF)
  • Manage your own debt portfolio, with a view to escalating this to our DRLF, in case of non-payment of our debt balance.

Duties

Daily:
  • Liaison with the LSC/GSC in obtaining key data to pass to our DRLF
  • Liaison with our DRLF
  • Co-ordinate query resolution.
  • Handle/supply/resolve incoming emails/data from our DRLF.
  • Maintain and update a debt recovery spreadsheet
  • Provide DRLF with payment information as soon as it becomes known.
  • Co-ordinate important legal-documentation and activity, such as witness statements, statement of truth, hearing attendance, compilation of important documents for court use from the business.
Weekly:
  • Meet with Line Manager, to review how debt balances are performing.
  • Pass new referrals to our DRLF
  • Instruct our DRLF to initiate legal action to recover all outstanding debt as appropriate and in line with company policy and procedures, and within expected timings.
  • Sit down with our DRLF on a regular weekly basis to understand how all cases are progressing and what the correct level and speed of action needs to be, together with understanding how it affects our costs.
  • Maintain and update debt recovery spreadsheet.
  • Provide payment information to our DRLF as and when its applicable.
  • Co-ordinate important legal-documentation and activity, such as witness statements, statement of truth, hearing attendance, compilation of important documents for court use from the business, either at Centre Level and/or at a broader level.
  • Review debt recovery invoices.
  • Provide statistics relating to debt recovery performance for the most complex debt balances, and any other aged debt KPIs
  • Manage key relationships with our external DRLFs
Monthly:
  • Provide statistics relating to debt recovery performance for the entire paralegal ledger.
  • Prepare write offs for any balances which are uneconomical to pursue
General/Ad-hoc:
  • Provide general support internally to ensure that legal documentation is progressed, e.g. witness statements are filed properly with our DRLF.
  • Submit ideas for decision making around our debt recovery processes to help the business collect debt in an efficient manner.
  • Ad-hoc admin tasks/reporting
  • Attend Court/Telephone Mediation hearings, ensuring the best outcome where possible, as and when necessary.
  • Liaise with colleagues, and other staff members in assisting them with any small value legal cases when required to do so.

Essential:

  • 2/3-year(s) experience of B2B debt recovery processes/liaising with legal third-party suppliers on a regular basis.
  • MS Excel – Intermediate / Advanced.
  • Good IT knowledge

Job Summary


The Senior Legal Counsel, Employment Law Contracting & V&A acts as legal advisor on Employment law issues in relation to Accenture’s contracting and V&A practices. He or she advises on strategic matters relating to Accenture’s contracting approach in respect of people solutions and HR matters, including effective risk mitigation planning. He or she provides employment law support on new complex deals carrying the largest and most complex people related risks in outsourcing, ventures and acquisitions. He or she helps to lead strategic initiatives and development of tools and know-how designed to enhance employment and labour law risks in the context of acquisitions, client deals and integrations.

Key Responsibilities

• Provide operational and strategic support to deal teams and to Sales & Delivery (Legal), Mobilisation, Solution Architects, CDTS and deal leadership on bid submissions and contract negotiations when addressing the HR solution of client deal constructs (e.g. outsourcing, build-operate-transfers, client captive acquisitions, client joint ventures etc.), particularly on the risk management, on the transition of staff into Accenture or its partners/subcontractors.
• Provide operational and strategic support to deal teams and V&A HR and V&A Legal on acquisitions and ventures in respect of risk analysis of target in light of due diligence undertaken, transition and retention of acquired personnel, contracting approach in respect of employment and HR related matters (including strategic input to negotiations and guidance on contractual documents), integration and post-merger planning
• Assure the quality of Employment Law delivery on new complex client and V&A deals by providing Employment Law support appropriate to needs, and integrating external support as required
• Manage and lead strategic employment law projects and development and deployment of technological tools in relation to contracting and V&A
• Coordination with attorneys in the MU Employment Law teams in respect of delivery of deal support and advising HR, Legal and management as appropriate.
• Act as senior point of contact and coach/mentor for MU Employment Law teams on significant and complex deal-specific employment law issues
• Manage and oversee outside counsel relationships with law firms, including managing the budget
• Stay abreast of legal developments affecting the company, its clients, and industries and synthesize the information to incorporate it into company’s practices in relation to contracting and V&A
• Oversee and contribute to development of internal guidelines, toolkits, and packaged knowledge on Employment legal and business issues
• Counsel, guide, train and support junior through senior levels of Legal attorneys as appropriate
• Educate senior company executives with regard to legal and risk management issues in relation to Contracting and V&A
• Make recommendations and escalate to the Sr. Director of Employment Law Contracting and V&A on material issues.
• Maintain clear understanding of sales and V&A pipeline management processes, escalation protocols to Leadership at MU, Market (including MICO) and Capital Committee and related Company policies associated with the same.
• Provide relevant input to briefings and escalations, to ensure employment law issues are addressed appropriately, key risk and mitigations identified, and that there are clear recommendations and options.
• Work with Legal Leads as appropriate
• Foster seamless integration and teaming relationships with the other Compliance, Operations, Regulatory and Ethics (“CORE”) Legal Services teams as well as with all teams in Sales & Delivery Legal and V&A Legal in the MU and Market, as well as with Mobilization, PT&T, CDTS and Solution Architect Leadership.
• Support, promote, and implement initiatives as part of Legal team, specifically the CORE compliance efforts, activities, and projects.

Education Requirements

Education: Law Degree / Juris Doctor required.

Work Experience

8+ years experience in practicing employment law. Strong experience with Contracting and V&A and with advising management of large companies
