• A law degree
• Native level local language fluency and excellent English proficiency

Associate – Contract Drafting

The CLM team provides end-to-end assistance on all types of commercial contracting to the legal and business teams of large MNCs and law firms. The Pre-execution arm (or Drafting team) is set up to function as an extension of the in-house legal team and assist the contracting process from the point business requests a contract, to when the contract is approved and signed. We review and negotiate transactional contracts based on our client’s organizational policies and guidelines, get the necessary approval and get the contracts signed. Complexity or deal value are not a bar in any sense for us – we provide these services for contracts ranging from bespoke and complex to more standardized or even related administrative work. Our Post-execution arm (or Abstraction team) support the due diligence of transactions contract through abstraction, summarization and risk analysis. This is critical to clients in M&A situations or to get an insight into their risk profile or just to ensure better day-to-day business operations. We also work in collaboration with various client stakeholders and key decision makers to operationalize legal functions for large MNCs through automation and process engineering.

Your key responsibilities

• Perform First Line Review of contracts, e.g. Patent License Agreements, IT Procurement Agreements, Web Hosting Agreements, Confidentiality Agreements, Software and Data License Agreements, Non-Disclosure Agreements, Vendor Services Agreements, Master Services Agreements, Statements of Work, Purchase and License Agreements, Sponsor Research Agreements, Inter Institutional Agreements, Supply and Distribution Agreements, Staffing, Consulting and Teaming Agreements, Lease Agreements, Estoppels and SNDAA and other commercial contracts.

•  Accompany Senior for client/customer negotiation calls and prepare call notes.

• Associates are lawyers who understand the basic contractual and legal concepts, and are able to interpret, and review the contracts. They are also expected to have good verbal and written communication skills.  Associates typically comprise the first stage of the contract review process.

Legal projects facilitated through TrustLaw range from everyday operational and commercial matters – such as corporate structuring, intellectual property, non-profit governance or employment advice – to large-scale cross-border legal research projects. Research projects are based on NGO and social enterprise priorities across social or policy issues ranging from freedom of expression and social innovation policy, to human trafficking and data and digital rights, with a growing number in Thomson Reuters Foundation’s focus areas of media freedom, inclusive economies and human rights.

The Role

The Foundation is recruiting a highly skilled and dynamic Legal Programme Manager to grow and strengthen our award-winning TrustLaw programme across Asia. We have a growing presence in the region but see great potential for continuing to broaden and deepen the reach of our service, particularly across the Foundation’s focus areas of media freedom, inclusive economies and human rights. The position would be based in Mumbai and work closely with our Asia Legal Officer, who is based in Mumbai, and our Asia Programme Officer, who is based in Thailand, both of whom provide support to TrustLaw’s activities across the region.

Responsibilities may include:

• Designing and implementing strategies to expand and strengthen the TrustLaw service, ensuring we serve the best NGOs, social enterprises and legal teams and we deepen TrustLaw’s work across the focus areas of media freedom, inclusive economies and human rights.

• Managing relationships with key TrustLaw members and facilitating their engagement with the service, through hosting events and regular communications.
• Scoping legal pro bono requests from our community of NGOs and social enterprises so that the requests clearly explain the legal needs.
• Managing pro bono requests, including connecting the pro bono client with lawyers and following up with the parties involved.
• Designing and managing multiple cross-border research programmes that address the most critical social and policy needs facing our NGO and social enterprise members.
• Line management of a Programme Officer based in Bangkok and a Legal Officer based in Mumbai.
• Providing leadership or support, as appropriate, in the design, implementation and resourcing of strategic Thomson Reuters Foundation projects in the region or globally.

• Design and execute a robust communications strategy that includes member events and promotion of TrustLaw publications.
• Representing TrustLaw and the Thomson Reuters Foundation by speaking publicly about our work at conferences and other events.
• Maintaining a high profile in Asia by supporting and coordinating events for TrustLaw and the Thomson Reuters Foundation, including working group, panel discussions and workshops, among others.
• Supporting the team to deliver the TrustLaw Awards and thought leadership projects including the TrustLaw Index of Pro Bono and TrustLaw training courses.

The candidate

• An experienced lawyer (5+ years) with strong legal skills and experience in pro bono and in international development or social change
• Commercial experience with a law firm or in-house would be favourable.
• A strong understanding of the legal and non-profit sectors in Asia, and an understanding of the challenges and opportunities that pro bono opportunities bring to law firms and legal teams.
• Proven organisational abilities and experience of managing competing priorities in a fast-paced environment.
• Extensive experience project managing projects or programming in the charity, non-profit, or pro bono sectors.
• Extensive experience working with a diverse range of stakeholders, from senior corporate executives and partners of top law firms to social entrepreneurs, NGOs, and any other beneficiaries of our services.

• Proven experience and knowledge of one or more of Thomson Reuters Foundation’s focus areas (media freedom, inclusive economies and/or human rights)
• Experience conducting due diligence, monitoring the effectiveness and impact of NGOs and social enterprises.
• A leader who is able to direct global strategy and manage multiple high-level projects consecutively
• A strong team player, able to work remotely and communicate effectively with a global team.

Job Summary

The role is to position GSK India as a key player with Government-Policy Makers and Community Representatives at Centre and state level across country. The role ensures GSK plays an active part in shaping the Indian healthcare environment, delivers alignment between the position of the Indian Government and that of GSK on any key issues relevant to GSK’s India’s pharmaceutical operations and builds trust with key internal and external stakeholders, including enhancing our ways of working and the perception of GSK and its products.

Key Responsibilities

– Lead development and implementation of Policy & Advocacy Strategy for GSK in India

– Develop and strengthen the Government Affairs capability.

– Engage with Commercial leads to identify and prioritise Policy & Advocacy issues and lead the development of plans around these issues that are market specific.

– Develop the policy content/material : identify, develop and produce policy material on key issues to support government interactions.

– Build partnerships with local and regional Policy & Advocacy Stakeholders (incl. senior policy-makers, Advocacy Groups, NGO’s, etc.) to support business, build reputation and improve access.

– Build interactions with government affairs colleagues across GSK Government Affairs and provide leadership and focus as appropriate.

– Provide intelligence to the International Leadership team (and India Leadership Team) on Policy trends and activities to identify and support future growth opportunity

– Drive Grant strategy, maintaining ethical and responsible standards and supporting GSK’s reputation.

– Promote and enhance the reputation of GSK India – the business, brands and people through stakeholder engagement and participation and recognition of GSK as a trusted partner in Healthcare Policy.

Basic Qualifications

We are looking for professionals with these required skills to achieve our goals:

• Graduate / Post Graduate with 15 – 20 Years of experience
• Experience in Government Affairs
• Extensive experience in government organizations
• Experience of implementing and measuring government affairs strategies and programs to support business objectives
• Experience interacting with national, regional and international policymakers

Preferred Qualifications

If you have the following characteristics, it would be a plus:

• LAW degree / MBA
• Successful engagement with policy makers and government activities
• Understanding of political, legal, regulatory and social environment
• Understanding of the political, economic and social sensitivities and practices
