Legal Business Services (Advisory), is a part of Advisory function and focuses on providing a breadth of business services to our clients – corporate legal teams of multinational corporations and law firms. What you’ll do here:

As a professional in our LBS – India offices of the US (LBS USI), your work will involve supporting the delivery of engagements/projects for our clients in the US, UK, and other regions. Typically, depending on the engagement/project, the work may include any of the following:

·       Contracts Analytics – Contract abstractions, contracts reviews & analysis, contracts migration, repapering, remediation, Template rationalization

·       Managed Services – supporting end to end contract management process including drafting & redlining, of agreements & SoWs, negotiating and interfacing with third parties, managing agreement workflow with business

·       System Implementations – Implementing contract management technologies and systems such as iCertis, Agiloft, Evisort etc. for our clients. Work typically involves understanding and reviewing business requirements and working on functionally configuring tools to align with such requirements

·       Legal  & CLM Assessments – Contracts & Legal workflow design, development, advisory, and consulting

·       Information Governance/Data integration work – Assisting clients with set up, and streamlining of information governance practices within their organization

As a member of the  practice, you will also be expected to:

·       Read & understand the scope of each engagement, process updates, & relevant substantive issues and subjects pertaining to such engagement

·       In a timely manner, seek clarifications on any questions within the engagement to ensure that your work is aligned with the client’s expectations

·       In a timely manner, raise any flags that may hinder the delivery of the engagement and escalate appropriately

·       Participate in client & leadership calls as needed

·       Work closely and report directly into LBS USI project leads on project delivery

·       Monitors your own quality, utilization, and productivity metrics

·       Follows all best practices established by the LBS USI practice from time to time

If you are:

·       Someone with legal training, and

·       A substantive bent of mind coupled with process understanding

·       A clear understanding of processes and practices in the commercial contracting space

·       Preferably, some familiarity with contracts drafting, redlining, and negotiations

·       Are familiar with the CLM Tools currently in vogue in the industry

·       Have experience with contract management engagements – abstraction review, drafting etc.  (all or any)

·       Well versed with MS word, excel, and PPTs

·       Have a relevant experience of 1-7 years

Specific Responsibilities:

– The main focus of the role will be to manage the legal entity reporting comprising financial reporting, regulatory reporting, tax filings and MIS reporting for the legal entities in India comprising the following responsibilities:

– Take care of the month end process which includes reconciliations (Intercompany, Bank, control accounts), FX revaluations, Transfer pricing calculations, booking of GAAP adjustments

 – Oversight of monthly reconciliation of accounts and balances
 – Review of monthly GST returns and payments
 – Review of Withholding tax liability and returns
 – Preparation of Annual Tax audit and Annual GST Returns
 – Review of the tax assessment, audit and such other submissions across the board
 – Liaising with Accounts Payable and resolving their queries on WHT & GST
 – Co-ordination of all legal entity activity, with key internal experts such as Tax, Legal, Compliance etc.
 – Preparation and review of statutory financial statement Preparation of regulatory returns to various authorities- RBI, SEBI etc.

– Responsible for maintaining key stakeholder relationships both internally and externally including: external auditors, external consultants, business unit and Tax.

The role will also require participation in the development of the LEC function in Mumbai, involving:

-Supporting the Business Units in new products and adapting the entity?s ledgers and system requirements.
– Ongoing entity-specific initiatives and projects.
– Contributing to the reporting control framework, ensuring compliance to client requirements and internal policy. 

QUALIFICATIONS-Skills required:

– CA with 3 to 4 yrs of experienceGood knowledge of Income tax and GST provisions

Objective
i. To contribute towards developing best in class contract management function which, while
servicing the internal business and control stakeholders in contracts, legal documents, terms
and conditions etc, is also able to insulate the business from all risks.
ii. Implement technology enabled tools and experience-based initiatives to make the contracting
process automated, efficient, and effective.

1. Description of KRAs
a) Contracts:
i. Standardisation of templates while prescribing negotiable and non-negotiable clauses basis
risk categorisation and type of contracts.
ii. Set up an efficient drafting and review process of contracts and other legal documents for
various business lines including payments, technology, merchants, product specific like
insurance, mutual funds, coupons etc.
iii. Lead contractual negotiations and closure independently.

b) Commercial:
i. Develop commercial understanding of the business and each product line for risk assessment
including what is mandatorily required under various regulations for financial services
products like insurance and Mutual funds.
ii. Provide expert & strategic legal advice on various aspects of business to management on
optimising the contracting process, stamping, e-sign, repository access etc.
iii. Evaluate and weigh multiple inputs and impacts of any decision or course of action as the
business is large, has PAN India operations and offices, ability to anticipate issues and estimate
risks, identify proactive solutions that will eliminate or mitigate risks.

c) Process:
i. Communications with relevant counter parties / external counsels for contract finalisation.
ii. Systematise the complete contracting process, TAT expectations, repository and retrieval

iii. Establish an auditable and robust process for renewals and monitoring of key requirements of
contracts.
iv. Deployment of technology-based solutions and tools to make the end to end contracting
process efficient, effective and best in class as to quality of drafting and risk mitigation.
v. Keep abreast of legislative change & maintain current knowledge of alterations in legislation
to continue to improve contract versions.

2. Min Qualification
i. LL. B/ LLM.
ii. Minimum 7 years post-qualification experience.
iii. Have strong drafting and communication skills.
iv. Exposure to a variety of contracts – Complex IT /software development, licensing, real estate
to variety of vendor, supplier, employment, service contracts – both revenue and expense line
contracts.
v. Overall good legal knowledge (corporate law, employment laws, business laws, data privacy
practises, info sec standards, etc). Exposure on regulatory compliance and litigation is a good
to have but not mandatory.

3. Expectations other than qualification & technical experience:
i. Committed and ready to work under pressure.
ii. High degree of professional ethics and integrity, excellent judgement, analytical skills and
good interpersonal skills.

About The Role

As an Compliance Analyst, you will be responsible for the following:

• MIS and report generation.

• Review, analyze and summarize miscellaneous reports and spreadsheets.

About JLEL

The NLIU-JLEL is a peer-reviewed annual labour and employment law journal which aims to create meaningful debate and discourse to build a fair and equitable regime of workspace laws and to study the dynamic confluence of the academic and the human resource represented by such laws.

Theme

JLEL welcome original, genuine and unpublished contributions from students, academicians and practitioners for the Journal. The Journal is accepting submissions under the broad theme of “Labour and Employment Laws” including inter alia industrial disputes, discrimination, gig economy, exploitation, minimum wage, restraint of trade, and whistleblowing. However, the submissions must be of contemporary relevance.

Categories of Submissions

The submission can be made under any of the following categories:

  • Articles (4000 to 8000 words) The article must be a comprehensive and in-depth analysis of the problem(s) or idea(s) dealt with by the author and should include references to a range of sources and contributions in the form of alternatives and suggestions. The word limit is exclusive of footnotes.
  • Essays (2000 to 4000 words) The essay must be an analysis of the problem(s) or idea(s) dealt with by the author and should include references to a range of sources and contributions in the form of alternatives and suggestions. The word limit is exclusive of footnotes.
  • Case Comment (2000 to 5000 words) The comment must be a critical analysis of a recent judgement, bringing out its relevance in light of development of laws, views expressed in the judgement and views of the author(s). The word limit is exclusive of footnotes.
  • Book Review (1000 to 3000 words) The review must be a crisp account of a recently published book including the issues explored and the related arguments of the author. The word limit is exclusive of footnotes.
  • Legislative Comment (2000 to 4000 words) The comment must analyse a recent legislative enactment. It must examine the objective of the legislation and the legal impact the same is expected to have. The word limit is exclusive of footnotes.
  • (NOTE: Submissions in the categories of Book Review(s), Case Comment(s) and Legislative Comment(s) will be highly appreciated.)

Submission Guidelines

  • All original submissions must be accompanied by an abstract not exceeding 300 words which is exclusive of the word limit and should be included within the document of the manuscript. A separate document containing only the Abstract must also be submitted. The abstract must expressly include the novelty and usefulness of the idea that the author wishes to put forth and must categorically mention the specific contribution of the submission, beyond the existing available literature, the practical utility of their recommendation. The abstract must also contain 5 keywords at the end.
  • All submissions must be in MS Word format (.doc) or (.docx), with Times New Roman font (body: size 12, line spacing: 1.50; footnotes: size 10, line spacing: 1.00).
  • The Journal uses only footnotes (and not endnotes) as a method of citation. The footnotes must conform to the Oxford Standard for Citation of Legal Authorities (OSCOLA, 4th Edition). Non-compliance with this may lead to disqualification.
  • The submissions made should not be plagiarised. Any submission in contravention of this rule shall be summarily rejected.
  • The manuscript itself must not contain any information as to the name(s) of the author(s), the institution, address or any other information that may reveal or indicate their identity.
  • Co-authorship is permitted for up to 2 authors. However, co-authorship is not allowed in case of Case Comment, Book Review and Legislative Comment.
  • Submissions are accepted for publication on the condition that they do not infringe the copyright or any other rights of any third parties. If the submission is found to be violative of any of the rights of the other party, the author(s) shall be solely responsible for such violation.
  • Submissions made should be on an exclusive basis i.e., submission should be unpublished and should not be under any concurrent consideration.
  • The editorial board reserves its rights to suggest changes/make amends/request to add or delete any portion in the submitted manuscript, based upon the discretion of the editor. The author(s) are supposed to incorporate the suggested changes within the specified time limit.
  • All submissions must be made on this form only, before 23:59 hours, 31st October 2021.
  • If the manuscript is selected for publication, the Centre for Labour Laws will have the copyright over the same, and the authors will be granted the moral rights for the same.

Minimum Qualifications

  • LLB, JD or equivalent degree and excellent academic credentials
  • Minimum of 5+ years experience at a law firm or in-house or working in a senior counsel’s office as a litigator
  • Familiarity with Internet laws and issues, including issues relating to online platforms and intermediary liability
  • Candidates must be flexible and willing to work on projects in other areas
